1.Acceptance of these Terms
These Terms of Use ("Terms") govern your access to and use of the ERTC website, the validation platform at ertc.land, and related services (together, the "Platform"), operated by ERTC Platform LLC ("ERTC", "we", "us"). By accessing or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
2.Definitions
- Platform — the ERTC website, validation platform, electronic payment system (EPS), exchange, P2P module, smart wallet, and related software.
- ERTC Token — a digital asset representing a validated geographic claim to one square metre (1 m²) of real land, recorded on-chain with coordinates.
- Validation — the process by which a land owner submits documents and the Platform verifies and records a geographic claim on-chain.
- Account — a registered user profile required to access certain features.
- Coordinates — geographic markers recorded on-chain that serve as uniqueness identifiers, not proof of land ownership or title.
3.Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into these Terms. You may not use the Platform if you are located in, or are a resident or national of, any jurisdiction subject to comprehensive sanctions, or if you appear on any applicable sanctions or restricted-party list (including OFAC). Access may be restricted in certain jurisdictions.
4.Nature of the Platform and the ERTC Token
Please read this section carefully.
- The ERTC Token represents a validated geographic claim to a square metre of land. Coordinates are uniqueness markers only. The Token does not confer legal ownership, title, deed, lease, or any real-property right over any land.
- The ERTC Token is not a security, share, bond, investment product, fund unit, or deposit, and is not offered as an investment.
- We make no promise, representation, or guarantee of any financial return, yield, profit, price stability, or price appreciation. The value of digital assets can go down as well as up.
- The primary reference price is determined by the Platform using a composite global land index for emission purposes. It is a reference rate only and is not a guaranteed buy-back, redemption, or conversion price. Any secondary transfer or exchange occurs at market/P2P prices that we do not set or guarantee.
- Nothing on the Platform constitutes financial, investment, legal, tax, or accounting advice. You are solely responsible for your own decisions.
5.Regulatory and licensing status
ERTC Platform LLC is a Georgian company. A VASP (Virtual Asset Service Provider) application has been filed with the National Bank of Georgia; no licenses have been granted yet. Certain functionality — including PSP acquiring, EMI/e-money features (multi-currency accounts, payment cards, IBAN, cross-border transfers), NFC Pay, and any "NeoBank" experience — is planned and not currently available, and will be offered only subject to the relevant licenses and applicable law. We will update these Terms as our regulatory status evolves.
6.Accounts, KYC and AML
To use certain features you must register an Account and provide accurate, current information. We apply identity verification (KYC) and anti-money-laundering (AML) checks, including through third-party providers (e.g. Sumsub) and sanctions/OFAC screening. We may refuse, suspend, or terminate access where verification fails or where we suspect fraud, sanctions exposure, or illegal activity. You are responsible for safeguarding your credentials and for all activity under your Account.
7.Land validation
Validation requires the submission of genuine ownership documents. You represent and warrant that all documents and information you submit are true, accurate, lawful, and that you have the right to submit them. You are solely responsible for the legality and accuracy of your submissions. Where validation results in emission, the mint split is 30% to the land owner and 70% to the Platform, as described on the Platform. We may reject or reverse validations obtained through false, incomplete, or fraudulent information.
8.Fees
Transfers within the ERTC network carry zero network transaction fees. Service fees may apply to other operations (for example exchange, P2P, or fiat-conversion services). Applicable fees are disclosed at the point of the relevant operation. Network or third-party costs outside the ERTC network are not controlled by us.
9.Prohibited uses
You agree not to: (a) use the Platform for money laundering, terrorist financing, fraud, or any illegal purpose; (b) submit false or fraudulent land claims or documents; (c) infringe the rights of others; (d) attempt to interfere with, reverse-engineer, or compromise the Platform's security or infrastructure; (e) use the Platform where prohibited by sanctions or local law; or (f) misrepresent the Token as conferring land ownership or as an investment.
10.Intellectual property
The Platform, its software, blockchain, design, content, and the ERTC trademark (EU registered) are owned by or licensed to ERTC Platform LLC and are protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
11.Risk disclosure
Use of the Platform and digital assets involves significant risk, including: price volatility; partial or total loss of value; regulatory and legal change; technological, smart-contract, and cybersecurity risks; the immutable and public nature of on-chain data; and the early-stage nature of the Platform. You use the Platform at your own risk and should not commit funds you cannot afford to lose.
12.Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
13.Limitation of liability
To the maximum extent permitted by applicable law, ERTC Platform LLC and its affiliates, directors, and personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, value, data, or goodwill, arising from your use of the Platform. Our aggregate liability shall not exceed the amount of fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
14.Indemnification
You agree to indemnify and hold harmless ERTC Platform LLC from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your submissions, or your breach of these Terms or applicable law.
15.Suspension and termination
We may suspend or terminate your access at any time, with or without notice, where we reasonably believe you have breached these Terms or applicable law, or where required for legal, regulatory, or security reasons.
16.Changes to these Terms
We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Your continued use after changes take effect constitutes acceptance.
17.Governing law and dispute resolution
These Terms are governed by the laws of Georgia, without regard to conflict-of-laws rules. Disputes shall be subject to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia.
